Partner Program

1. Introduction

This Introducing Broker & Partner Agreement (“Agreement”) sets out the terms and conditions governing the relationship between RISEN LTD., operating under the brand name RisenFX (“RisenFX,” “the Company,” “we,” “our,” or “us”), and any individual, business, organization, or legal entity (“IB,” “Partner,” “you,” or “your”) participating in the RisenFX Partner Program.

By creating an account with RisenFX, accessing a referral link, referring clients, promoting RisenFX, or receiving commissions through the Partner Program, the Partner confirms that they have read, understood, and agreed to be bound by this Agreement and all related RisenFX policies.

All registered RisenFX clients may be automatically provided access to referral and partner tools, subject to the terms contained herein. This version is based on the GatesFX IB/Partner Agreement you provided, rewritten for RisenFX and expanded to include paid advertising restrictions.

2. Legal Status

RISEN LTD. is registered in Saint Lucia under registration number 2025-00774, with its registered address at Office 2, Golf Course Lane, Cap. Estate, Gros Islet, Saint Lucia.

All client accounts, partner accounts, referral relationships, commissions, wallets, and related Partner Program activity are legally and operationally maintained with RISEN LTD. in Saint Lucia, unless otherwise expressly confirmed in writing by the Company.

This Agreement governs only the relationship between RISEN LTD. and its IBs or Partners.

No regional representative, affiliate, service provider, payment processor, platform provider, marketing vendor, or related third party shall be responsible for commissions, referred client relationships, partner obligations, payment disputes, or liabilities arising from the RisenFX Partner Program unless expressly agreed in writing by RISEN LTD.

3. Purpose of the Program

The RisenFX Partner Program allows eligible individuals and organizations to earn commissions by referring new clients to RisenFX.

Partners may promote RisenFX through personal networks, social media, websites, communities, content platforms, direct outreach, or approved marketing channels, provided all activity complies with this Agreement, applicable laws, advertising rules, financial promotion standards, and RisenFX brand requirements.

The purpose of the program is to reward genuine client referrals and responsible brand promotion. It is not intended to support misleading marketing, self-referral schemes, artificial trading volume, unauthorized paid advertising, traffic hijacking, or abusive commission-generation activity.

4. Automatic Enrollment

All registered RisenFX account holders may be automatically enrolled in the RisenFX Partner Program and may receive access to referral tools through the client portal, trader dashboard, or partner dashboard.

This may allow eligible clients to:

Access a personal referral link;

Refer new clients to RisenFX;

Earn commissions from eligible trading activity of referred clients;

Track referrals, deposits, trading volume, and commission statistics where available;

View wallet balances and commission activity;

Transfer or withdraw eligible commissions subject to verification and policy requirements.

Participation in referral activity is optional. Clients who do not wish to promote RisenFX or refer others are not required to use their referral link or participate in the Partner Program.

RisenFX reserves the right to restrict, suspend, or remove Partner Program access from any account at its sole discretion.

5. Commission Structure

5.1 Instant Commission Payouts

Where available, commissions may be calculated and credited automatically when a referred client’s eligible trade is closed.

Commission payouts may be processed 24 hours a day, 7 days a week, and may be credited directly to the Partner’s wallet or designated commission account.

Once credited, eligible commissions may be withdrawn or transferred to a trading account, subject to account verification, AML review, payment provider requirements, and RisenFX withdrawal policies.

RisenFX reserves the right to delay, review, reverse, withhold, or cancel commissions where suspicious activity, system error, abuse, chargeback risk, unauthorized advertising, or compliance concerns are identified.

5.2 Commission Calculation

Commission amounts may depend on several factors, including but not limited to:

The referred client’s account type;

The instrument traded;

The trading volume generated;

The applicable commission tier;

The Partner’s approved commission settings;

Regional availability;

Promotional or negotiated terms;

Risk, compliance, or abuse-prevention controls applied by the Company.

Commission rates may be displayed in the Partner Dashboard, client portal, or otherwise communicated by RisenFX.

RisenFX reserves the right to adjust, amend, reduce, suspend, or restructure commission rates at any time due to business needs, trading conditions, risk controls, regulatory considerations, abuse prevention, or changes to the Partner Program.

6. Multi-Tier and Sub-IB Relationships

RisenFX may, at its discretion, offer multi-tier referral structures, sub-IB relationships, override commissions, or network-based commission arrangements.

Where such arrangements are enabled, a Partner may earn additional commission from eligible trading activity generated by clients or sub-partners introduced through their referral network.

All multi-tier, sub-IB, or override earnings remain subject to:

RisenFX approval;

KYC and AML verification;

Trading activity validation;

Commission structure rules;

Anti-fraud review;

Regional availability;

Applicable partner terms;

Any limits or restrictions applied by the Company.

RisenFX may modify, suspend, or remove multi-tier commission structures at any time and is not obligated to offer such structures to all Partners.

7. Partner Responsibilities

All IBs and Partners agree to promote RisenFX in an honest, professional, compliant, and transparent manner.

Partners must:

Avoid false, exaggerated, or misleading claims;

Never guarantee profits, returns, trading success, or specific financial outcomes;

Avoid presenting trading as risk-free or suitable for everyone;

Refrain from providing personalized financial, investment, tax, legal, or trading advice unless properly licensed to do so;

Ensure all marketing activity complies with applicable laws, platform rules, financial promotion standards, and RisenFX brand requirements;

Avoid spam, deceptive campaigns, fake testimonials, fake reviews, or misleading advertisements;

Avoid targeting minors, restricted jurisdictions, or individuals prohibited from using RisenFX services;

Disclose their relationship with RisenFX where required by law, platform rules, or advertising standards;

Direct referred clients with support, deposit, withdrawal, verification, or trading issues to official RisenFX support channels.

Partners are responsible for all marketing activity conducted under their name, company, brand, website, social media page, advertising account, affiliate link, referral link, or any third-party contractor acting on their behalf.

Failure to meet these responsibilities may result in restricted partner access, commission withholding, suspension, termination, or other action under this Agreement.

8. Use of Marketing Materials

RisenFX may provide approved banners, templates, brand assets, referral materials, promotional content, landing pages, tracking links, and other marketing resources through the client portal, partner dashboard, or other official channels.

Partners may use approved materials only for the purpose of promoting RisenFX in accordance with this Agreement.

Partners may not:

Alter RisenFX logos, trademarks, or brand assets without written approval;

Misrepresent themselves as employees, officers, agents, official representatives, or internal team members of RisenFX;

Create unauthorized websites, social pages, apps, funnels, landing pages, or advertisements that impersonate RisenFX;

Use RisenFX branding in a misleading, offensive, unlawful, or unauthorized manner;

Duplicate, modify, or distribute proprietary content in a way that damages the RisenFX brand;

Register domains, social handles, ad accounts, business pages, or profiles that include the RisenFX name or confusingly similar variations without written approval.

Unauthorized use of RisenFX intellectual property may result in removal from the Partner Program, forfeiture of unpaid commissions, reversal of previously credited commissions, legal action, and any other remedies available to the Company.

9. Paid Advertising Restrictions

Partners and IBs are not permitted to run paid advertising campaigns using the RisenFX name, brand, trademarks, logos, domain names, account names, platform names, promotions, or related branded keywords without prior written approval from RisenFX.

This restriction applies to all paid advertising channels, including but not limited to:

Google Ads;

Meta Ads, including Facebook and Instagram;

TikTok Ads;

YouTube Ads;

Bing/Microsoft Ads;

X/Twitter Ads;

LinkedIn Ads;

Snapchat Ads;

Display advertising networks;

Native advertising networks;

Retargeting campaigns;

Influencer paid-boost campaigns;

Sponsored search placements;

Any other paid search, paid social, display, native, retargeting, or paid traffic source.

Partners may not bid on, target, purchase, or otherwise use paid traffic for keywords containing “RisenFX,” “Risen FX,” “RISEN LTD.,” “Risen Forex,” the RisenFX domain name, or any confusingly similar spelling, variation, abbreviation, phrase, trademark, account name, promotion name, or proprietary brand term.

Partners are also prohibited from creating advertisements, landing pages, domains, funnels, social pages, or promotional materials that may cause users to believe the Partner is RisenFX, is operated by RisenFX, is approved as an official advertising representative, or is authorized to advertise on behalf of RisenFX.

Examples of prohibited paid advertising activity include, but are not limited to:

Running Google Ads targeting the RisenFX brand name;

Bidding on RisenFX-related search terms;

Using RisenFX trademarks in ad headlines, descriptions, display URLs, sitelinks, images, videos, or landing pages without written approval;

Running Meta Ads that appear to be official RisenFX advertisements;

Using paid ads to redirect branded search traffic through a Partner referral link;

Creating lookalike websites, fake brand pages, clone pages, or misleading landing pages;

Running retargeting campaigns using RisenFX branding without authorization;

Using RisenFX brand terms in paid traffic campaigns to compete against RisenFX’s own organic or paid traffic;

Running ads that imply the Partner is the official RisenFX website, registration page, account portal, support team, or promotions department;

Using paid ads to capture users already searching for RisenFX and redirect them through the Partner’s tracking link.

Partners may not run paid advertisements “on behalf of” RisenFX or represent that any advertisement is official RisenFX advertising unless prior written authorization has been granted by the Company.

Any paid advertising campaign involving RisenFX branding, referral links, promotions, offers, account types, company materials, screenshots, logos, or trademarks must receive prior written approval from RisenFX before launch.

RisenFX reserves the right to request immediate removal of any unauthorized paid advertisement, landing page, domain, keyword campaign, or social campaign. If a Partner violates this section, RisenFX may immediately suspend the Partner account, disable referral links, withhold commissions, reverse commissions, terminate the Partner relationship, and take legal, platform-level, or domain-level action to protect its brand, traffic, and client acquisition channels.

10. Payment Terms

Eligible commissions are credited according to the Partner’s approved commission structure and the trading activity of referred clients.

Where instant commission payouts are enabled, commissions may be credited automatically after referred client trades are closed.

Commissions are generally paid in the base currency of the Partner wallet or another currency determined by RisenFX.

RisenFX may deduct, reverse, withhold, or cancel commissions if the Company determines that the commissions are connected to:

Fraudulent activity;

Abusive trading;

Self-referrals;

Duplicate or fake accounts;

Chargebacks or payment disputes;

Bonus abuse;

Manipulated trading volume;

Technical error;

Unauthorized paid advertising;

Brand keyword bidding;

Traffic hijacking;

Violation of this Agreement or any RisenFX policy.

Partners are solely responsible for any taxes, filings, reporting obligations, licenses, permits, or legal requirements arising from commissions received through the Partner Program.

RisenFX does not provide tax advice and does not assume responsibility for a Partner’s personal or business tax obligations.

11. Prohibited Activities

The following activities are strictly prohibited:

Registering multiple accounts to generate self-referral commissions;

Referring yourself, related accounts, fake users, duplicate users, or accounts controlled by the same person;

Offering unauthorized rebates, bonuses, guarantees, or incentives to manipulate client trading volume;

Using high-frequency trading, arbitrage, trade-copying, coordinated trading, or artificial volume strategies primarily to generate commission;

Encouraging clients to overtrade, trade recklessly, or trade without regard to risk;

Promoting RisenFX in restricted countries or to prohibited persons;

Targeting underage individuals;

Using misleading, false, deceptive, or non-compliant advertising;

Running unauthorized Google Ads, Meta Ads, paid search, paid social, display campaigns, retargeting campaigns, or branded keyword campaigns using the RisenFX name, trademarks, domain, or related terms;

Bidding on RisenFX-branded keywords or redirecting branded search traffic through a Partner referral link;

Impersonating RisenFX or representing yourself as an employee, official agent, support representative, or authorized advertising representative;

Creating fake RisenFX websites, social media pages, landing pages, registration pages, support pages, or promotional pages;

Misusing client data, referral data, dashboard data, or confidential partner information;

Engaging in money laundering, fraud, identity theft, sanctions evasion, or other unlawful conduct;

Damaging the RisenFX brand, reputation, systems, traffic, client relationships, or commercial interests;

Any other activity RisenFX considers abusive, harmful, manipulative, unlawful, or inconsistent with the purpose of the Partner Program.

If prohibited activity is suspected or confirmed, RisenFX may immediately suspend or terminate the Partner account, remove referral access, withhold commissions, reverse previously credited commissions, cancel linked activity, reject withdrawals connected to the activity, and take additional action under the Anti-Fraud Policy.

12. Independent Contractor Relationship

All IBs and Partners participate in the RisenFX Partner Program as independent contractors.

Nothing in this Agreement creates an employment relationship, agency relationship, franchise, joint venture, legal partnership, fiduciary relationship, or representative authority between RisenFX and the Partner.

Partners are not authorized to:

Bind RisenFX to any agreement;

Make promises or commitments on behalf of RisenFX;

Accept funds on behalf of RisenFX;

Provide official support in the name of RisenFX;

Represent themselves as employees, agents, officers, compliance staff, account managers, or official representatives of RisenFX;

Run advertising campaigns on behalf of RisenFX without written authorization.

Partners operate independently and are solely responsible for their own business activities, expenses, marketing practices, advertising accounts, taxes, licensing obligations, and legal compliance.

13. Confidentiality

Partners may receive access to confidential information, including but not limited to:

Commission rates;

Referral statistics;

Client activity data;

Partner dashboard information;

Internal systems;

Marketing strategy;

Performance reports;

Business processes;

Non-public RisenFX information;

Traffic source data;

Campaign performance information;

Partner tools or tracking systems.

Partners must keep all confidential information secure and may not disclose, share, sell, misuse, publish, copy, or exploit such information for personal gain, competitive purposes, or any unauthorized use.

Confidentiality obligations continue after termination of this Agreement.

14. Anti-Money Laundering Compliance

RisenFX maintains AML and CTF controls designed to prevent financial crime, fraud, and misuse of the Partner Program.

To comply with AML, CTF, fraud prevention, sanctions screening, and payment security requirements:

Partner commissions will only be paid to verified accounts held in the same name as the registered Partner;

Third-party payments are strictly prohibited;

Partners may be required to complete identity verification before receiving commissions;

RisenFX may request additional documents, source-of-funds information, payment verification, business information, or marketing source information at any time;

Suspicious activity may result in delayed payments, account review, suspension, termination, or reporting to relevant authorities.

RisenFX may refuse, delay, reverse, or withhold commission payments where required for compliance, fraud prevention, chargeback risk, sanctions screening, unauthorized advertising review, or regulatory purposes.

15. Termination

Either RisenFX or the Partner may terminate this Agreement by providing written notice.

RisenFX may suspend or terminate a Partner account immediately and without prior notice if:

Fraud, abuse, or manipulation is suspected or confirmed;

The Partner breaches this Agreement or any related policy;

Unauthorized paid advertising is identified;

Brand keyword bidding or traffic hijacking is identified;

Unauthorized or misleading marketing is discovered;

The Partner misrepresents RisenFX or its services;

Regulatory, AML, sanctions, or compliance concerns arise;

The Partner promotes RisenFX in restricted jurisdictions;

The Partner engages in prohibited activity;

The Partner damages or risks damaging the reputation, traffic, brand, systems, or commercial interests of RisenFX;

Continued participation creates legal, operational, financial, regulatory, or reputational risk for the Company.

Upon termination:

Access to partner tools, tracking links, dashboards, and marketing assets may be revoked;

Pending commissions may be reviewed, withheld, reversed, or cancelled if connected to disputed, fraudulent, abusive, non-compliant, or unauthorized activity;

Verified commissions not subject to dispute, investigation, reversal, or policy violation may be paid in accordance with RisenFX payment procedures;

The Partner must immediately stop using RisenFX branding, trademarks, promotional materials, referral claims, landing pages, paid ads, and any materials suggesting an active partnership with RisenFX;

The Partner must remove or disable any unauthorized advertisements, domains, websites, social pages, or promotional campaigns upon request.

Termination does not affect any rights or obligations that accrued before termination or any clauses intended to survive termination.

16. Limitation of Liability

To the maximum extent permitted by law, RisenFX shall not be liable for:

Indirect, incidental, consequential, special, punitive, or exemplary damages;

Loss of income, revenue, clients, opportunities, commissions, reputation, traffic, rankings, or business value;

System downtime, tracking errors, platform outages, or third-party failures;

Payment delays caused by banks, payment processors, blockchain networks, or third parties;

Claims, losses, or complaints made by referred clients;

Marketing costs, advertising expenses, or business expenses incurred by the Partner;

Advertising account suspensions, platform bans, rejected ads, keyword disputes, or campaign losses incurred by the Partner;

Partner reliance on projected or expected commission income.

The Partner’s maximum remedy for any claim related to the Partner Program shall be limited to the amount of verified, unpaid commissions properly due to the Partner at the time the claim arises, excluding commissions under dispute, review, reversal, investigation, or cancellation.

17. Governing Law and Jurisdiction

This Agreement is governed by the laws of Saint Lucia.

Any dispute, claim, or proceeding arising from or relating to this Agreement, the Partner Program, commissions, referral activity, marketing conduct, paid advertising activity, brand usage, or Partner obligations shall be resolved in the courts of Saint Lucia unless both parties agree in writing to an alternative dispute resolution process, such as mediation or arbitration.

All IB and Partner relationships are legally formed with RISEN LTD. in Saint Lucia, and not with any affiliate, representative, vendor, platform provider, payment processor, or related service provider.

18. Amendments

RisenFX may amend, update, replace, or modify this Agreement at any time.

Updated versions may be published on the official RisenFX website, partner portal, client dashboard, or otherwise communicated through official Company channels.

Unless otherwise stated, changes become effective immediately upon publication.

Continued participation in the Partner Program after updates are published constitutes acceptance of the revised Agreement.

If a Partner does not agree to any updated terms, the Partner must discontinue participation in the Partner Program and request termination of their partner access.

19. Entire Agreement

This Agreement, together with all referenced policies, partner notices, commission schedules, dashboard terms, advertising approvals, and official written communications from RisenFX, constitutes the entire agreement between RISEN LTD. and the Partner regarding participation in the RisenFX Partner Program.

No verbal agreement, informal message, prior discussion, marketing statement, or unauthorized communication shall amend, override, or modify this Agreement unless expressly confirmed in writing by an authorized representative of RISEN LTD.
